Resumen

En el presente trabajo se estudia el impacto de la estructura de gobierno corporativo en la gestión de recursos humanos y el desempeño financiero en el contexto latinoamericano. Para ello, se analizará el concepto de gobierno corporativo. Más tarde, se tratarán dos corrientes que estudiar tanto la estructura de gobierno corporativo como el comportamiento de los directivos, la teoría de la agencia y la teoría de stewardship. Se encuentra que la estructura del gobierno corporativo y las competencias del recurso humano están positivamente relacionadas con el desempeño financiero de la empresa.
